Terms of Service - Review Cadence

1. Introduction

Welcome to Review Cadence. These Terms of Service ('Terms') govern your use of our website located at reviewcadence.com and any related services ('Service') operated by Review Cadence ('us', 'we', or 'our'). The Service includes features that integrate with third-party APIs, such as the Google Business Profile API, Yelp API, TripAdvisor API, and others, to manage location data across multiple platforms. By accessing or using the Service, you agree to be bound by these Terms and any applicable third-party terms, including but not limited to Google's, Yelp's, and TripAdvisor's API policies. If you disagree with any part of these Terms, you may not access or use the Service.

2. Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

3. Purchases

If you wish to purchase any product or service made available through the Service ('Purchase'), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

4. Subscriptions

Some parts of the Service are billed on a subscription basis ('Subscription(s)'). You will be billed in advance on a recurring and periodic basis ('Billing Cycle'). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Review Cadence cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Review Cadence customer support team.

5. Free Trial

Review Cadence may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ('Free Trial').

You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Review Cadence until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable subscription fee for the type of Subscription you have selected.

6. Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ('Content'), including location data synchronized via third-party APIs such as the Google Business Profile API, Yelp API, TripAdvisor API, and others. You are responsible for the Content you provide, including its legality, accuracy, and appropriateness, and for ensuring it complies with all applicable laws and third-party terms (e.g., Google's, Yelp's, and TripAdvisor's API Terms of Service). By submitting Content, you represent and warrant that: (i) the Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms; (ii) it does not violate privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity; and (iii) it adheres to the usage policies of any third-party APIs we integrate with. We reserve the right to remove or restrict Content that violates these Terms or third-party API policies.

7. Accounts

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide—such as business details and location data—is accurate, complete, and current at all times. Inaccurate or outdated information may result in suspension or termination of your account. You authorize us to use this information to interact with third-party APIs, including the Google Business Profile API, Yelp API, TripAdvisor API, and others, on your behalf to manage your location data. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

8. Intellectual Property

The Service and its original content (excluding Content provided by users and data sourced from third-party APIs like the Google Business Profile API, Yelp API, TripAdvisor API, and others), features, and functionality are and will remain the exclusive property of Review Cadence and its licensors. Data obtained through third-party APIs remains subject to the respective providers' terms (e.g., Google's, Yelp's, and TripAdvisor's API Terms of Service). The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Review Cadence.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms or third-party API policies.

If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Limitation of Liability

In no event shall Review Cadence, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service, including data provided via third-party APIs such as the Google Business Profile API, Yelp API, TripAdvisor API, and others; (iii) any interruptions, errors, or inaccuracies in third-party API data; or (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Disclaimer

Your use of the Service is at your sole risk. The Service, including features reliant on third-party APIs like the Google Business Profile API, Yelp API, TripAdvisor API, and others, is provided on an 'AS IS' and 'AS AVAILABLE' basis. We do not guarantee the availability, accuracy, or reliability of third-party API data, which may be subject to delays, errors, or changes beyond our control. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

14. Third-Party API Usage

Review Cadence integrates with third-party APIs, including the Google Business Profile API, Yelp API, TripAdvisor API, and others, to provide location data management features. By using these features, you agree to: (i) comply with all applicable third-party API terms (e.g., Google’s API Terms of Service, Yelp’s API Terms, TripAdvisor’s API policies, available at their respective websites); (ii) use API-sourced data only for the purposes outlined in these Terms and not for any prohibited activities (e.g., spamming, misrepresentation); and (iii) grant us permission to access and manage your location data via these APIs on your behalf. We may suspend or terminate access to API-dependent features if you violate third-party terms or if our API access is restricted by the provider.
